1. Acceptance of Terms

By accessing or using the Biftoo platform ("Service"), operated by Biftoo Labs Inc. ("we," "our," or "us"), you agree to be bound by these Terms of Use. If you do not agree to these terms, strictly do not use the Service.

2. Description of Service

Biftoo is an AI-driven healthcare SaaS platform designed to streamline administrative and practice management tasks. Key features include automated scheduling, patient communication, intelligent documentation, and revenue optimization tools. We utilize advanced artificial intelligence models to assist with these functions; however, the Service is intended strictly as an administrative aid, not a replacement for professional clinical judgment.

3. Account Provisioning & Access

Access to the Biftoo platform is provisioned exclusively for verified healthcare practitioners and clinical organizations. Account creation is currently facilitated following a scheduled demonstration and the execution of applicable service agreements (including Business Associate Agreements where applicable).

We reserve the right to verify your professional credentials and to approve or deny account creation at our sole discretion.

4. User Accounts & Communications

You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorized use of your account.

Consent to Communications:

By creating an account and providing your contact information, you expressly consent to receive strictly transactional notifications, system alerts, and appointment reminders from Biftoo. You may opt-out of non-essential communications at any time by replying STOP to SMS messages or contacting support. Standard message and data rates may apply.

5. Medical Responsibility & Clinical Accuracy

Biftoo is an Administrative Tool Only.
The Service does not provide medical, diagnostic, legal, or professional advice.

• Practitioner Responsibility: You (the practitioner or clinic) allow the Service to process data on your behalf, but you remain solely responsible for the clinical accuracy of all notes, audits, and patient interactions.
• Oversight: You agree to review, edit, and verify any AI-generated content (including SOAP notes or patient summaries) before finalizing it or adding it to a patient's permanent medical record.
• Liability: Biftoo Labs Inc. assumes no liability for clinical decisions made based on the use of this Service.

6. Payments & Billing

• Fees: Subscription fees are billed in advance on a recurring basis as selected by you during onboarding.
• Processing: All payment transactions are processed securely via PCI-DSS compliant third-party payment processors (e.g., Stripe). We do not store raw payment card data on our servers.
• Refunds: All fees are non-refundable unless otherwise required by law or explicitly stated in your specific master service agreement.

7. Privacy, Data Ownership & AI Processing

Your use of the Service is governed by our Privacy Policy.

• Your Data: You retain full ownership of all patient data and content you upload to the Service.
• Strict AI Data Boundaries: Biftoo Labs Inc. processes Protected Health Information (PHI) and Personal Information strictly under the guidelines of PIPEDA, HIPAA, and executed Business Associate Agreements (BAAs). We do not use your clinic's raw PHI to train public or foundational AI models. AI processing is utilized strictly within your secure tenant environment to provide features like transcription and chart formatting.

8. Intellectual Property

The Biftoo platform, including its underlying code, proprietary AI workflows, interface design, and branding, is the exclusive property of Biftoo Labs Inc.. You are granted a limited, revocable, non-transferable license to use the Service for your internal business purposes only.

9. Disclaimers & Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIFTOO LABS INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS OR DATA. OUR TOTAL AGGREGATE LIABILITY ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Governing Law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any disputes arising from these Terms shall be resolved in the courts of Calgary, Alberta.
